SETTING UP A COMPANY SUDAN FREE ZONES
 

Setting up a company in the RSFZ is simple. To qualify establishing a Branch of a company, you merely need to .have either a company already registered inside Sudan or overseas- including offshore companies. Alternatively, you canregister a Legal entity or Company (FZE or FZCO).
Now you can GO TO the summary of Procedures to get a quick overview and consequently explore the three options: -

  1. A company already registered in Sudan or Overseas.
  2. A Business Name ordinance already registered.
  3. Registering a new company or a new entity in the RSFZ.
  4. Alternatively, you should return the application form to the SFZ address. In case the activity is industrial, a feasibilty study should be attached as well as technical specifications. A brief description should be provided if the investment or activity is commercial or related services. These procedures are uncomplicated and bureaucracy is kept to the minimum. Prospective companies must of course complete some formalities in order to get their project evaluated and accepted. RED SEA FREE ZONE Authority, with its experience in setting up companies is there to assist you in this process.
SUMMARY OF PROCEDURES :-
 
  1. Return the duly completed Investment Application Form to the Sudanese Free Zone Authority. In case the activity is industrial, a feasibility study should be attached as well as technical specifications of the project. A brief description should be provided if the investment relates to commercial or services activities.
  2. The Application Form, with all attached documents as mentioned above, will be subject to the approval of the FZ competent authority to give a final decision in a period not exceeding two weeks from the date of submission.
  3. If the application is approved, the investor shall complete the following procedures: 
    1. Register his company at the Commercial Registrar designated for the Free Zone.
    2. Sign the contract
    3. Receive the licence for the commencement of his approved activity (Industrial, Commercial or Services).
  4. After the finalization of the above mentioned procedures, the investor shall approach the FZ Engineering Unit for the completion of the following: 
    1. Issuing of the plot certificate/if the leased is a plot.
    2. Receiving the building permit after the presentation of the engineering drawings and specifications of the installations in accordance with the required standards to the Engineering Unit.
    3. Handing over the leased to the tenant.
ESTABLISHING A LEGAL ENTITY IN THE RSFZ :-
 

This may take one of the following shapes: -

  1. A Company already registered either inside Sudan or overseas i.e.Foreign Company.
  2. A business Name Ordinance already registered (Local or Foreign).
  3. Registering a new company or a new Business Name (Local or Foreign).
Company Registered in or Outside Sudan:-
 
  1. FOREIGN COMPANY


    The applicant should attach with the application form certified and attested documents at Sudan's embassy in the country of origin, the document required should meet the following:

    • Registration Certificate in the Country of Origin.
    • Memorandum of Association.
    • List of the Managers
    • List of the members of the Board of Directors.
    • Certified and attested general power of attorney issued by the notary public empowering your representative to finalize the registration procedure with SFZ.
    • Balance sheet of the last two years.
    • Cheque guarantee of $2000.
    • Cheque guarantee of $2000.
  2. LOCAL COMPANY
    • Copy of Registration Certificate.
    • Copy of Memorandum of Association.
    • List of the Managers
    • List of the members of the Board of Directors.
    • Certified acceptance from the Board of Directors to establish a branch within the zone
    • Balance sheet of the last two years.
    • Registration fees of $100.
BUSINESS NAME ORDINANCE ALREADY REGISTERED
 
  1. The foreign names ordinance requested, should be attached, certified and attested documents at the Sudan Embassy, the documents are
    • Registration Certificate.
    • Certified and Attested general power empowering local representative to finalize the registration procedures with SFZ.
    • Balance statement of Last two years.
    • Registration Fees $60.
  2. Business Names already registered in Sudan should meet with the following documents:
    • Registration Certificate.
    • Balance statement of Last two years.
    • Cheque of guarantee of L.S. 5 Million.
    • Registration Fees $60.
REGISTERING A NEW COMPANY OR LEGAL ENTITY
 
  1. For establishing a new company the applicant (Local or Overseas) should submit the following documents according to the companies ordinance of 1925 procedures as follows:
    • Issuing Memorundum of Association.
    • Approval of the above certificate by legal advisor.
    • Cheque guarnatee of L.S. 5 Million.
    • Financial ability certificate.
    • Registration Fees of $150.
  2. Establishing a business name ordinance according to the 1931 regulations, the applicant should submit the following documents:
    • Application for licences from Commercial Registrar to be approved by legal advisor.
    • Financial Ability certificate
    • Cheque of guarantee of L.S. 5 Million
    • Registration Fees $60.
